Terms of Purchase

  • 1. General Provisions

    1.1. These Purchase and Sale Terms and Conditions (hereinafter – the "Terms") establish the rights, obligations and responsibilities of the Buyer and the Seller when purchasing goods in the online store.

    1.2. The Seller – UAB UAB Vaidmanta, company code- 304887104, VAT code- LT100011795014, registered address- Rusnės g. 2, LT-93163 Klaipėda, email- prekyba@inoxas.lt.

    1.3. The Buyer – a natural person or legal entity purchasing goods in the online store.

    1.4. By placing an order, the Buyer confirms that they have read and agree to these Terms.

    1.5. These Terms are drafted in accordance with the Civil Code of the Republic of Lithuania and other applicable legal acts.

    2. Conclusion of the Purchase Agreement

    2.1. The purchase agreement shall be considered concluded from the moment the Seller confirms the Buyer’s order.

    2.2. Ordered or custom-made goods shall be processed only after confirmation by the Seller and/or full payment.

    2.3. The Seller reserves the right to contact the Buyer to clarify order details.

    3. Categories of Goods

    3.1. Standard goods – serial or catalog goods whose parameters are not modified according to individual requests.

    3.2. Ordered goods – standard goods not kept in stock and ordered from suppliers only after receiving the Buyer’s order.

    3.3. Custom-made or individually adapted goods – goods that are:

    3.3.1. manufactured according to the Buyer’s provided dimensions;

    3.3.2. cut or otherwise modified according to the Buyer’s instructions;

    3.3.3. assembled according to an individual project;

    3.3.4. adapted to specific technical requirements of the Buyer.

    3.4. Such goods shall be considered goods manufactured according to an individual order.

    4. Prices and Payment

    4.1. Prices are indicated in EUR and include VAT (if applicable).

    4.2. Custom-made or ordered goods may be processed only after full payment.

    4.3. The Seller reserves the right to cancel the order if payment is not received.

    5. Delivery

    5.1. Delivery time is indicated in the product description or agreed individually.

    5.2. Ordered and custom-made goods may have longer delivery times.

    5.3. Delivery terms are preliminary unless otherwise expressly agreed.

    6. Returns – Natural Persons (B2C)

    6.1. A natural person (consumer) has the right to withdraw from the purchase agreement within 14 (fourteen) calendar days from the date of receiving the goods.

    6.2. In case of withdrawal from a contract for standard or ordered goods, the Buyer shall bear the return shipping costs.

    6.3. The Buyer shall be responsible for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

    6.4. Non-returnable Custom-Made Goods

    6.4.1. In accordance with Article 6.228(10) of the Civil Code of the Republic of Lithuania, the Buyer’s right of withdrawal does not apply to goods manufactured according to the Buyer’s individual order or clearly adapted to the Buyer’s needs.

    6.4.2. Custom-made goods include goods that are:

    6.4.2.1. manufactured according to non-standard dimensions;

    6.4.2.2. cut to a specific length requested by the Buyer;

    6.4.2.3. assembled according to an individual project;

    6.4.2.4. adapted to specific technical requirements.

    6.4.3. Such goods are non-returnable and the amounts paid for them shall not be refunded, except in cases of manufacturing defects.

    7. Returns – Legal Entities (B2B)

    7.1. The 14-day right of withdrawal does not apply to legal entities.

    7.2. Ordered goods sold to legal entities are non-returnable, except in cases of manufacturing defects.

    7.3. Custom-made or individually adapted goods sold to legal entities are non-returnable.

    8. Warranty and Quality

    8.1. In case of manufacturing defects, the Buyer has the right to request replacement of the goods, repair, price reduction, or termination of the contract in accordance with applicable law.

    9. Liability

    9.1. The Seller shall not be liable for indirect losses, lost profits, or business interruption, except where such liability is mandatory under applicable law.

    9.2. The Seller shall not be liable for delivery delays caused by circumstances beyond the Seller’s control.

    10. Personal Data

    10.1. Personal data shall be processed in accordance with the Privacy Policy published on the website.

    11. Final Provisions

    11.1. Disputes shall be resolved through negotiations.

    11.2. If no agreement is reached, disputes shall be resolved in accordance with the laws of the Republic of Lithuania.
